These Terms and Conditions (hereinafter the 'Terms') govern access to and use of the digital real estate crowdlending platform operated by Expressco S.A.S. (hereinafter 'Expressco' or 'the Platform'), identified with Tax ID (NIT) 901.456.789-2, with principal address at Carrera 7 #71-21, Office 1005, Torre Davivienda, Bogotá D.C., Colombia. By accessing or using the Platform, you agree to be bound by these Terms in their entirety.
1. Purpose of the Platform
Expressco operates as a technology intermediary that facilitates the connection between investors and real estate project developers in Colombia. The Platform enables collective participation in financing construction and urban renewal developments through the crowdlending model. Expressco does not act as a public resource collector or financial intermediary as defined by the Organic Statute of the Financial System.
2. Eligibility requirements
To use the Platform, you declare and warrant that: • You are of legal age under Colombian law (18 years). • You have legal capacity to enter into binding contracts. • You provide truthful, complete, and up-to-date information. • You are not included in any national or international restrictive lists. • You understand the risks associated with real estate crowdlending investments.
3. How investments work
Investments made through the Platform are channeled through structured financial vehicles, which may include commercial trusts or other legally established mechanisms in Colombia. Each investment project includes specific documentation detailing participation conditions, risks, estimated timelines, and projected returns. Expressco reserves the right to select and publish projects that meet its analysis and evaluation criteria.
4. Investment risks
All investments involve risks. The returns indicated on the Platform are estimates based on projections and do not constitute a guarantee of results. The main risks include: • Market risk: fluctuations in property values. • Liquidity risk: crowdlending investments are not easily transferable. • Execution risk: delays or defaults in the construction or development of the project. • Credit risk: possible default by the project developer. • Regulatory risk: changes in regulations that may affect investment conditions.
5. Intellectual property
All content on the Platform, including text, graphics, logos, images, software, and source code, is the property of Expressco S.A.S. or its licensors and is protected by Colombia's intellectual property laws and applicable international treaties. Unauthorized reproduction, distribution, or modification of any Platform content is prohibited.
6. Limitation of liability
Expressco acts exclusively as a technology facilitator and does not guarantee the results of investments made through the Platform. To the maximum extent permitted by Colombian law, Expressco shall not be liable for losses, direct or indirect damages, lost profits, or damages of any nature arising from investments made by users.
7. Applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Colombia. Any dispute arising in connection with these Terms or the use of the Platform shall be submitted to the competent courts of the city of Bogotá D.C., Colombia, with both parties waiving any other jurisdiction that may apply.
8. Modifications
Expressco reserves the right to modify these Terms at any time. Modifications will be communicated to registered users and published on the Platform at least fifteen (15) business days before taking effect. Continued use of the Platform after publication of changes implies acceptance of the modified Terms.
